Terms of Service

1. About these terms

These Terms of Service ("Terms") govern your access to and use of the Thelsy API service ("Service"), an application programming interface (API) gateway operated by Thelsy ("we", "us", "our"). By creating an account, subscribing to a plan, or making calls to the Service, you agree to these Terms. If you do not agree, do not use the Service.

Payments for the Service are processed by our payment platform, which acts as the merchant of record for your purchase and handles applicable transaction taxes and card processing. Their terms apply to the payment transaction; these Terms apply to the Service itself.

2. What the Service is

The Service is an API access service. It provides a unified, OpenAI-compatible programming interface that lets your software send requests to artificial intelligence models operated by third-party model providers. We are not the developer or owner of those models. Model availability, output characteristics and performance may change when the upstream provider updates its models, and we will use reasonable efforts to give notice of material changes.

3. Accounts

• You must provide accurate registration information and keep it current.
• You are responsible for all activity under your account and for the security of your login credentials.
• You must be at least 18 years old and legally able to enter into a binding contract.
• One account per customer or organisation unless we agree otherwise in writing.
• You may not share account login credentials between multiple users.

4. API keys

• API keys are displayed only at the time of creation. You are responsible for storing them securely.
• Keys are confidential credentials. Do not publish them, embed them in client-side code, or share them with third parties.
• You are responsible for all usage and charges incurred with keys issued under your account.
• We may disable keys that we reasonably believe have been compromised or are being misused.
• You may revoke keys at any time from your account dashboard.

5. Fees, billing and usage

• The Service is sold as a recurring monthly subscription. The price, the included token allowance and the overage rate for each plan are published on our pricing page.
• Subscriptions renew automatically each month until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period.
• Usage is measured in tokens as reported by the model provider for requests made with your keys.
• When your included allowance is exhausted, additional usage is available at the published overage rate, or you may upgrade your plan. Access may be paused until additional usage is available.
• Prices are stated in US dollars and exclude any taxes that may apply to your purchase, which are handled by our merchant of record.

6. Acceptable use

You agree to use the Service only for lawful purposes. You must not use the Service, or permit anyone else to use it, to:

• create, distribute or facilitate content that is illegal in your jurisdiction or ours;
• deceive, defraud, impersonate, or mislead any person, or to fabricate evidence;
• send spam, unsolicited bulk messages, or engage in coordinated inauthentic behaviour;
• infringe intellectual property, privacy or other rights of any person;
• generate sexual content involving minors, non-consensual sexual content, or content that sexualises minors in any way;
• produce material intended to harass, threaten or incite violence or hatred against any person or group;
• develop malware, conduct unauthorised intrusions, or bypass security controls;
• attempt to bypass, disable or reverse-engineer safety systems of the Service or the upstream models;
• resell, sublicense or redistribute raw access to the Service without our written agreement;
• build a competing model or service by systematically extracting model outputs, or attempt to distil, replicate or reverse-engineer the underlying models;
• violate the usage policies of the upstream model provider.

We may suspend or terminate access, without refund, for material or repeated breach of this section.

7. Your content and outputs

• You retain all rights to the inputs you submit and to the outputs you receive, subject to applicable law and the upstream provider's terms.
• You are solely responsible for the inputs you submit and for how you use the outputs, including verifying their accuracy before relying on them.
• You grant us a limited licence to process your inputs and outputs solely to operate, secure and support the Service.
• AI outputs may be inaccurate, incomplete or biased. They are not professional, legal, medical or financial advice.

8. Availability and changes

We aim to keep the Service continuously available, but the Service depends on third-party infrastructure and model providers, and we do not warrant uninterrupted or error-free operation. We may modify, add or remove features, and may suspend the Service for maintenance. If we discontinue the Service, we will provide reasonable advance notice and refund prepaid fees for the unused portion of the current billing period.

9. Suspension and termination

• You may stop using the Service and cancel your subscription at any time.
• We may suspend or terminate your access for breach of these Terms, for suspected fraud or abuse, for non-payment, or where required by law.
• On termination, your right to use the Service ends immediately and API keys stop working.

10. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including fitness for a particular purpose, accuracy, and non-infringement, to the maximum extent permitted by law. Nothing in these Terms excludes liability that cannot lawfully be excluded.

11. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total aggregate liability arising out of or relating to the Service is limited to the amount you paid us in the three (3) months preceding the event giving rise to the claim.

12. Changes to these Terms

We may update these Terms from time to time. We will post the updated version on this page and update the "Last updated" date. Material changes will be notified by email or in your account dashboard at least 14 days before they take effect. Continued use after that date constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the Special Administrative Region of Hong Kong. The parties submit to the non-exclusive jurisdiction of the courts of Hong Kong, without prejudice to any mandatory consumer protection rights available to you in your country of residence.
